Please read these terms carefully before using DigitalStudy services

1. Agreement to Terms

By accessing or using DigitalStudy's software, services, and website (collectively, "Services"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Services.

These Terms constitute a legally binding agreement between your school/institution ("Customer," "you," or "your") and DigitalStudy Inc. ("DigitalStudy," "we," "us," or "our").

2. Description of Services

DigitalStudy provides:

  • School management software for educational institutions
  • Student information system (SIS) functionality
  • Learning management tools
  • Communication and collaboration features
  • Reporting and analytics tools
  • Mobile applications for iOS and Android

3. Account Registration

3.1 Eligibility

You represent that:

  • You are an authorized representative of an educational institution
  • You have the authority to bind your institution to these Terms
  • You will use the Services solely for educational purposes
  • All information provided during registration is accurate and complete

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring users within your organization comply with these Terms

4. Licensing and Usage Rights

4.1 License Grant

Subject to these Terms and payment of applicable fees, DigitalStudy grants you a non-exclusive, non-transferable license to:

  • Access and use the software during the subscription term
  • Use the Services for your internal educational operations
  • Create accounts for authorized users (students, staff, parents)

4.2 License Restrictions

You may not:

  • Modify, reverse engineer, or create derivative works of the software
  • Use the Services for any illegal or unauthorized purpose
  • Transfer your license without our written consent
  • Remove any proprietary notices from the software
  • Use the Services to develop competing products

5. Payment Terms

5.1 Fees

Unless otherwise agreed in writing:

  • Annual subscription fees are quoted per agreement
  • All fees are exclusive of taxes
  • Payment is due within 30 days of invoice
  • Late payments subject to 1.5% monthly service charge

5.2 Renewal

Subscriptions automatically renew for successive terms unless cancelled at least 30 days before the renewal date.

6. Data and Privacy

6.1 Data Ownership

As specified in our Single School Edition model:

  • You retain ownership of all student, staff, and institutional data
  • Data is stored on your infrastructure (self-hosted) or in your dedicated environment
  • You may export your data at any time in standard formats

6.2 Data Protection

You agree to:

  • Obtain necessary consents for data collection
  • Comply with applicable data protection laws (GDPR, FERPA, etc.)
  • Implement appropriate security measures
  • Notify us of any data breaches as required by law

7. Service Level Agreement (SLA)

7.1 Availability

We commit to 99.9% uptime for our managed hosting services, excluding:

  • Scheduled maintenance (with 48-hour notice)
  • Force majeure events
  • Issues caused by your infrastructure or third-party services

7.2 Support

We provide:

  • Email support with varying response times based on plan
  • Phone support for premium customers
  • Online documentation and knowledge base
  • Regular software updates and patches

8. Intellectual Property

8.1 Our Rights

DigitalStudy retains all rights to:

  • The software, code, and underlying technology
  • Trademarks, logos, and branding (except your white-labeled instances)
  • Analytics and usage data (anonymized)
  • Documentation and training materials

8.2 Your Rights

You retain all rights to:

  • Your institutional data and content
  • Customizations made to your instance
  • Your branding and trademarks

9. Termination

9.1 By You

You may terminate your subscription with 30 days' written notice. No refunds for prepaid unused periods unless otherwise agreed.

9.2 By Us

We may terminate or suspend your account for:

  • Material breach of these Terms
  • Non-payment after 60 days past due
  • Illegal use of the Services
  • Upon request by legal authorities with valid orders

9.3 Post-Termination

Upon termination:

  • Your access to the Services will cease
  • We will provide data export assistance for 30 days
  • All licenses granted herein terminate
  • Confidentiality obligations survive termination

10. Warranties and Disclaimers

10.1 Our Warranties

We warrant that:

  • The Services will materially conform to documentation
  • We will not knowingly introduce malicious code
  • We will maintain industry-standard security practices

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, or consequential damages
  • We are not liable for loss of data, profits, or business interruption

12. Indemnification

You agree to indemnify and hold harmless DigitalStudy and its officers from any claims arising from:

  • Your use of the Services in violation of these Terms
  • Your violation of any third-party rights
  • Your failure to comply with applicable laws
  • Content or data you submit to the Services

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by the laws of the State of New York, United States, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes shall be resolved through:

  • Good faith negotiations between the parties
  • Mediation if negotiations fail
  • Binding arbitration in New York, NY, if mediation fails

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Material changes will be notified via email.

15. General Provisions

  • Severability: If any provision is found invalid, remaining provisions continue in effect
  • No Waiver: Failure to enforce any provision does not constitute a waiver
  • Assignment: You may not assign these Terms without our consent
  • Entire Agreement: These Terms constitute the entire agreement between parties
